  3. Enterprise Integration Technologies Corporation (EIT) grants to the
  4. possessor of this copy (the Licensee) a royalty-free, nonexclusive
  5. license to use, copy, modify and distribute both the binary and source
  6. code of Hypermail and any related documentation (the Software) for
  7. academic, research and internal business purposes only and subject
  8. to the following conditions:

  10. 1. By using or copying the Software, Licensee agree to abide by
  11. the terms of this Agreement.
  12.  
  13. 2. Title and copyright to the Software remain with EIT and
  14. Licensee agrees to preserve the same.
  15.  
  16. 3. Licensee acknowledges that the Software is still in the development
  17. stage and that it is being supplied "as is", without any
  18. accompanying services from EIT.  EIT MAKES NO REPRESENTATIONS OR
  19. WARRANTIES, EXPRESS OR IMPLIED.  By way of example, but not
  20. limitation, EIT MAKES NO REPRESENTATIONS OR WARRANTIES OF
  21. MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE OR THAT THE USE
  22. THE SOFTWARE WILL NOT INFRINGE ON ANY PATENTS OR OTHER RIGHTS.  EIT
  23. shall not be held liable for any liability nor for any direct,
  24. indirect or consequential damages with respect to any claim by
  25. Licensee or any third party with respect to this Agreement or any use
  26. of the Software.

  28. 4. Licensee may distribute the Software or any derivative work based
  29. on the the Software to third parties provided (1) all copyright
  30. notices and this Agreement appear on all copies, and (2) no charge is
  31. associated with such copies.  Unless Licensee labels the derivative
  32. work with the notice "No Grantback", Licensee agrees to grant EIT a
  33. royalty-free nonexclusive license to use, copy, modify and distribute
  34. any modifications to the Software owned by Licensee and distributed to
  35. third parties as a derivative work under this Agreement.

  37. 5. If Licensee distributes a derivative work, then Licensee also
  38. agrees to (1) notify EIT of the distribution, and (2) clearly notify
  39. users that such derivative work is a modified version and not the
  40. original EIT Software.

  42. 6. Any Licensee wishing to make commercial use of the Software should
  43. contact EIT to negotiate an appropriate license.  Commercial use
  44. includes (1) integration of all or part of the source code into a
  45. product for sale or license by or on behalf of Licensee to third
  46. parties, or (2) distribution of the binary or source code to third
  47. parties that need it to utilize a commercial product sold or licensed
  48. by or on behalf of Licensee.

  50. 7. Licensee agrees to abide by all applicable laws of the United
  51. States, including, but not limited to, copyright and export control
  52. laws.

  54. 8. EIT has the right to terminate this license immediately by written
  55. notice upon Licensee's breach of, or non-compliance with any of its
  56. terms.  Licensee may be held legally responsible for any copyright
  57. infringement that is caused or encouraged by licensee's failure to
  58. abide by the terms of this license.
